For AG Real Estate, I am looking for a Senior Corporate Legal Advisor with 6 to 10 years of experience. Fluent in French or Dutch, with good command of the other language and very good command of English.

Fonction
Within the Legal & Tax department, you are the point of contact for cases and analysis regarding corporate law and regulatory aspects related to real estate holding vehicles (SIR, FIIS, real estate certificates). You are also responsible for the legal aspects of the sale and acquisition of buildings and real estate companies, the financing of real estate projects and the development of projects, where you are involved in the legal control and drafting of contracts.
As a Senior Corporate Legal Advisor, you are responsible for the following tasks:
- You provide and draft opinions on corporate law, financial law (takeover bids, transparency declarations...) and on the regulatory aspects of real estate investment vehicles (SIR, FIIS, real estate certificates...)
- You draft and check the corporate documents relating to real estate transactions (shareholders' agreement, capital increase, fund subscription, various agreements and clauses) and take part in negotiations
- You manage and advise the Corporate Housekeeping team (consisting of 3 people) for the Belgian and foreign companies of the group, if necessary in collaboration with foreign lawyers and notaries
- You draft, adapt and update standard contracts (in particular, NDA, Head of Terms, Letter of Interest...)
- You draft and review documents related to real estate transactions (letters of intent, shares transfer agreement, shareholders' agreement, sales agreement, project management agreement, building lease, long term lease...) and participate in negotiations
- You coordinate the audit aspects of real estate transactions
- In a constructive manner, you try to resolve disputes out of court within the established contractual framework, and you manage any disputes (with the help of external advisors)
- You provide legal training and guidance to operational and technical colleagues in the business lines
- You study and monitor legal developments in the relevant areas
Profil
- You hold a Master’s degree in law
- You have 6 to 10 years of experience
- You have proven skills in corporate law and real estate regulation
- You are assertive and pragmatic
- You are proactive and have a sense of initiative
- You have excellent organisational skills
- You are service-oriented and enjoy working in a team, but are also able to function independently
- You are fluent in French or Dutch and have a good knowledge of the other national language. You have a very good command of English
